About the Entity

AHAML, incorporated in September 2005 as an unlisted public Company, is one of the growing Asset Management and Investment Advisory Companies in Pakistan and is licensed by the Securities and Exchange Commission of Pakistan (SECP) to carry out services under the Non-Banking Finance Companies Regulations. The AMC is a wholly owned subsidiary of Bank AL Habib Limited. The Board comprises six members. Mr. Abbas D. Habib serves as the Chairperson of the Board and also holds the position of Chairperson at Bank Al Habib Limited. He is a Fellow Member of the Institute of Bankers Pakistan and brings over 42 years of extensive experience. The CEO, Mr. Kashif Rafi, has vast experience spanning over 23 years in the field of Investments and Fund Management.

Rating Rationale

The rating assigned to AL Habib Asset Management Limited ("AHAML" or "the AMC") incorporates the AMC's strong market position in Pakistan's asset management industry, supported by a disciplined investment philosophy, an effective governance framework and sound risk management practices. The AMC's association with Bank AL Habib Limited continues to provide a competitive advantage through strong brand recognition, established market credibility, and access to an extensive distribution network. This affiliation has enabled AHAML to effectively leverage the parent Bank's outreach and strengthen its penetration across various investor segments.
As of June'26, the industry’s AUM stood at PKR 4.3trln (SPLY: PKR 3.7trln). The money market category held the largest share at 56%, followed by the income category at 25% and the equity category at 19%. AHAML’s Assets Under Management (AUM) increased by approximately 15% to PKR 290.6bln as of June 2026, compared to PKR 253.0bln in June 2025. while its market share remained intact at 7% compared to the same period last year, reflecting the AMC's ability to sustain its competitive position within the industry despite increasing competition. During the period, the AMC further expanded its product suite through the launch of additional conventional and Shariah-compliant fixed Return fund plans, while also broadening its Shariah-compliant money market fund offerings. These initiatives demonstrate the AMC's focus on product innovation and catering to evolving investment preferences across different risk profiles. The investor base remained adequately diversified, with 37% of the AUM contributed by retail investors and 63% by institutional and corporate clients. During the period, 76% of sales originated from existing clients and 24% from new accounts, while total redemptions comprised 79% institutional and 21% retail withdrawals. The average concentration of the top 10 investors stood at 33% of the total AUM, while related-party holdings remained contained at 7%, reflecting a stable funding profile and manageable investor concentration risk. Fund performance remained subdued during the period, with most funds underperforming their respective benchmarks. However, remained align with industry average. The AMC continues to focus on improving investment performance through active monitoring of market conditions and disciplined asset allocation. Financial performance strengthened considerably during the period. As of Dec'25, Profit before tax stood at PKR 2.2bln (Dec'24: PKR 2.4bln), while profit after tax was reported at PKR 1.4bln (Dec'24: PKR 1.5bln). The AMC's financial performance continued to benefit from higher management fee income arising from growth in AUMs and increased operational scale. The AMC's financial risk profile remained strong, with shareholders' equity increasing to PKR 4.5bln in Dec'25 (Dec'24: PKR 3.0bln) and total assets rising to PKR 4.9bln in Dec'25 (Dec'24: PKR 3.2bln), reflecting a strengthened capitalization base and enhanced financial capacity.

Structure

AL Habib Asset Management Limited ("AHAML" or the "AMC"), was incorporated in 2005, as an unlisted public limited Company. AHAML is licensed to carry out Asset Management and Investment Advisory services under the Non-Banking Finance Companies (Establishment and Regulations) Rules, 2003


Background

The AMC is the financial arm of Bank AL Habib Limited (a AAA-rated bank) and Habib Group. It manages a range of Open-end Schemes across all broader categories, voluntary pension schemes and various discretionary and non-discretionary portfolios.


Market Share

The AMC is among the fastest-growing Asset Management Companies in the industry, with Assets Under Management (AUM) witnessing moderate growth of approximately 15% since June 2025, capturing a 7% market share as of the end of June 2026.


Diversification of Fund Mix

The AMC offers a diversified range of investment solutions, comprising thirteen open-end mutual funds across multiple conventional and Shariah-compliant categories, two voluntary pension schemes, and Separately Managed Accounts (SMAs) under discretionary mandates. During the review period, AHAML further strengthened its product suite through the introduction of additional conventional and Shariah-compliant Fixed Return Fund Plans, alongside an expansion of its Shariah-compliant money market offerings.

As of June'26, the investor base remained adequately diversified, with the top 10 investors accounting for 33% of the total AUM, while related-party holdings remained contained at 7%.

Ownership Structure

The AMC is a wholly owned subsidiary of Bank AL Habib Limited (the "Bank"), one of Pakistan's leading conventional commercial banks.


Business Acumen

The AMC's sponsor, Bank AL Habib, is one of the prominent banks in the commercial banking sector. The Bank has a widespread network of more than 1,329 branches all across Pakistan. The strong presence of sponsors in the financial sector is beneficial for the AMC.


Financial Strength

Bank AL Habib holds long-term and short-term entity ratings of AAA and A1+, respectively. As of Dec'25, the Bank reported shareholders' equity of PKR 171.2bln and a profit after tax of PKR 30.6bln, reflecting its strong financial profile and earnings capacity. The sponsor has consistently demonstrated both the financial strength and willingness to extend support to the AMC whenever required.


Governance
Board Structure

The Board of Directors comprises six members, including the Chief Executive Officer, and represents an appropriate mix of executive, non-executive, and independent representation. The Board consists of three non-executive directors, two independent directors, and one executive director, ensuring balanced oversight and effective governance.


Members’ Profile

Mr. Abbas D. Habib serves as the Chairman of the Board and is also the Chairman of Bank AL Habib Limited. A Fellow Member of the Institute of Bankers Pakistan, he possesses over four decades of experience in the banking sector. Mr. Mansoor Ali, a non-executive director, currently serves as the Chief Executive Officer of Bank AL Habib Limited and brings more than 32 years of banking experience. Mr. Imran Azim, also a non-executive director, holds an MBA in Finance and has accumulated over three decades of experience in the asset management and mutual fund industry. Mr. Saeed Allawala an independent director, contributes extensive corporate governance experience through his leadership roles as Chairman of Atco Laboratories Limited and Softronic Systems (Private) Limited, while also serving on the boards of several reputable organizations. Ms. Zarine Aziz, an independent director and former President of First Women Bank Limited, is widely recognized for her leadership and significant contributions towards the socio-economic empowerment of women in Pakistan.


Board Effectiveness

The Board provides strategic direction and effective oversight of the AMC's operations through a well-defined governance framework. Dedicated Board committees, including the Audit Committee and the Human Resource & Remuneration Committee, oversee key governance, financial reporting, internal controls, and human capital matters, thereby strengthening the overall control environment.


Transparency

KPMG Taseer Hadi & Co., an SBP-approved 'A' category audit firm, issued an unmodified audit opinion on the financial statements for the year ended December 31, 2025, indicating that the financial statements present a true and fair view in all material respects.


Management
Organizational Structure

The AMC operates under a well-structured and formalized organizational framework comprising eight departments: i) HR and Administration, ii) Compliance and Risk Management, iii) Business Development, iv) Investments and Research, v) Information Technology, vi) Finance, vii) Internal Audit, and viii) Operations. The reporting lines within the organization are clearly defined and segregated to ensure efficiency and accountability.


Management Team

The management team is led by Mr. Kashif Rafi, Chief Executive Officer, who holds an MBA in Finance from IBA and possesses more than 23 years of extensive experience in Pakistan's asset management industry, having served in senior leadership positions at leading AMCs. He is supported by Mr. Zahid Hussain Vasnani, Chief Operating Officer, a Professional Accounting Affiliate of ICAP with 30 years of experience in financial services and capital markets. The finance function is headed by Mr. Abbas Qurban, Chief Financial Officer, who is a Fellow Member of ICMAP and PIPFA, a Diploma Holder from the Institute of Bankers Pakistan (IBP), and also holds an MBA in Finance. The senior management team is complemented by experienced professionals across key business functions, providing adequate operational depth and execution capabilities


Technology Infrastructure

From an operational perspective, the AMC utilizes Asset Connect, a widely recognized technology platform within Pakistan's asset management industry. The system integrates key functional modules, including the Unit Holder Module, Portfolio Management Module, and General Ledger (GL) Module, facilitating efficient transaction processing, portfolio administration, financial reporting, and operational monitoring.


Control Environment

The AMC has also established comprehensive policies and procedures covering information technology, investment research, operations, compliance, and risk management. Risk exposures, investment limits, and regulatory compliance are monitored through a combination of system-generated reports and internally developed monitoring tools, ensuring adherence to prescribed investment guidelines and regulatory requirements.


Investment Risk Management
Credit Risk

Credit risk arises from the potential that an obligor is either unwilling to perform on an obligation or its ability to perform such obligation is impaired, resulting in economic loss to the Fund and how much AMC is invested in its own funds. . To monitor credit risk, internal assessment modules are in place with a combination of qualitative and quantitative analysis. Excel-based credit risk scorecards are being used to provide statistical estimates for counterparty credit risk. In accordance with the investment guidelines approved by the Investment Committee. The fund management team remained aligned to monitor the investement portfoilo. The portfolio of financial instruments is broadly diversified in line with regulatory restrictions, and transactions are entered into with diverse, creditworthy counterparties, thereby mitigating any significant concentration of credit risk.


Liquidity Profile

Every Fund is required to maintain a certain level of liquidity to meet its financial obligations. The risk management department monitors the liquidity profile of the AMC by tracking the maturities of financial assets and financial liabilities, and sufficient liquidity is maintained by investing a significant portion of the Fund's assets in highly liquid avenues. The management also keeps a close watch on the sale/repurchase of units, and where redemption pressure is anticipated to increase, appropriate cash levels are built up in advance.


Market Risk

Market risk comprising interest rate risk, equity risk, currency risk and commodity risk which fluctuates the value of a financial instrument. It comprises . The AMC has set appropriate metrics to measure exposure to market risk factors, and market risk is generally assessed using the Value at Risk (VaR) approach. Excel-based financial models are being used to measure the sensitivity of portfolio instruments to movements in interest rates and other relevant market variables, and the value of the portfolio is monitored on an ongoing basis to account for changes in economic variables or other events that may impact the market value of its constituents.


Portfolio Management
IC Composition

The AMC's Investment Committee comprises six members, including the Chief Executive Officer (CEO), Chief Operating Officer (COO), Head of Equity, Head of Fixed Income, and two Fund Managers. The Committee brings together representation from key investment, research, risk, and management functions, providing a balanced platform for evaluating investment decisions and monitoring portfolio performance.


Effectiveness

The Investment Committee (IC) formally convenes on a fortnightly basis to review market developments, assess portfolio positioning, and deliberate on investment decisions. The regular interaction of the Committee provides a structured forum for evaluating investment opportunities, monitoring existing exposures, and ensuring that portfolio allocations remain aligned with the respective fund mandates and approved investment strategies. The composition of the IC, comprising senior management and experienced professionals from investment, research, fixed income, equity, and risk functions, is considered adequate for effective oversight of the investment process.


Investment Research and Analysis

The AMC's research function is headed by Mr. Zuhair Abbasi, Head of Research, and operates under the overall oversight of the Chief Executive Officer. The research function supports the investment decision-making process through analysis of market trends, economic developments, and potential investment opportunities. For equity investments, the department utilizes Excel-based valuation models to assess companies fundamentals and derive indicative valuations.

Investor Services

The AMC continues to enhance its investor service framework through a range of customer-centric initiatives aimed at improving accessibility and service quality. Investors are facilitated through an online chat platform that enables them to seek investment-related guidance, submit queries, and register complaints efficiently


Investor Reporting

The AMC offers an online redemption facility, allowing investors to execute transactions conveniently through digital channels. The AMC offers a mobile application under the name “Al Habib Funds” which further enhances accessibility and convenience for investors by providing digital access to its investment services.


Distribution and Sales Network

The AMC currently maintains a modest sales and distribution network. The AMC is capitalizing on Bank AL Habib's extensive branch network to broaden its outreach and enhance access to potential investors across the country. Effective utilization of the Bank's established distribution platform is expected to further improve the AMC's market visibility, facilitate customer acquisition, and support sustained growth in AUM. The ability to effectively leverage this network remains an important factor in strengthening the AMC's distribution capabilities and expanding its market share.


Performance
Asset Under Management

AL Habib Asset Management Limited's AUM's increased by 15% to PKR 290.6bln at end Jun'26 (Jun'25: PKR 252.9bln). This growth is predominantly driven by both conventional and Islamic money market categories. Diversifying fund slate to reduce dependence on single fund. The majority of the funds underperformed in their respective benchmarks.


Asset Manager

The core income has shown an increase and recorded at PKR 2.8bln during CY25 (CY24: PKR 2.7bln). The AMC recorded a net profit of PKR 1.4bln for CY25 (CY24: 1.5bln), while profit for 3MCY26 stood at PKR 306mln, compared to PKR 324mln in the same period last year (3MCY25). The AMC's equity stood at PKR 4.8bln at end March'26 (March'25: PKR 4.5bln), comfortably meeting the minimum regulatory capital requirement of PKR 230mln.

  1. Rating Team Statements
    1. Rating is just an opinion about the creditworthiness of the entity and does not constitute a recommendation to buy, hold, or sell any security of the entity rated or to buy, hold, or sell the security rated, as the case may be. (Chapter III; 14-3-(x))
    2. Conflict of Interest
      1. The Rating Team or any of their family members have no interest in this rating (Chapter III; 12-2-(j))
      2. PACRA, the analysts involved in the rating process, and members of its rating committee and their family members do not have any conflict of interest relating to the rating done by them (Chapter III; 12-2-(e) & (k))
      3. The analyst is not a substantial shareholder of the customer being rated by PACRA [Annexure F; d-(ii)]
      4. Explanation: for the purpose of the above clause, the term "family members" shall include only those family members who are dependent on the analyst and members of the rating committee.
  2. Restrictions
    1. No director, officer, or employee of PACRA communicates the information acquired by him for use for rating purposes to any other person, except where required under law to do so. (Chapter III; 10-(5))
    2. PACRA does not disclose or discuss with outside parties or make improper use of the non-public information which has come to its knowledge during a business relationship with the customer. (Chapter III; 10-7-(d))

  3. Conduct of Business
    1. PACRA fulfills its obligations in a fair, efficient, transparent, and ethical manner and renders high standards of services in performing its functions and obligations. (Chapter III; 11-A-(a))
    2. PACRA uses due care in the preparation of this Rating Report. Our information has been obtained from sources we consider to be reliable, but its accuracy or completeness is not guaranteed. PACRA does not, in every instance, independently verify or validate information received in the rating process or in preparing this Rating Report. (Clause 11-(A)(p))
    3. PACRA prohibits its employees and analysts from soliciting money, gifts, or favors from anyone with whom PACRA conducts business. (Chapter III; 11-A-(q))
    4. PACRA ensures before the commencement of the rating process that an analyst or employee has not had a recent employment or other significant business or personal relationship with the rated entity that may cause or may be perceived as causing a conflict of interest. (Chapter III; 11-A-(r))
    5. PACRA maintains the principle of integrity in seeking rating business. (Chapter III; 11-A-(u))
    6. PACRA promptly investigates in the event of misconduct or a breach of the policies, procedures, and controls, and takes appropriate steps to rectify any weaknesses to prevent any recurrence, along with suitable punitive action against the responsible employee(s). (Chapter III; 11-B-(m))
  4. Independence & Conflict of Interest
    1. PACRA receives compensation from the entity being rated or any third party for the rating services it offers. The receipt of this compensation has no influence on PACRA’s opinions or other analytical processes. In all instances, PACRA is committed to preserving the objectivity, integrity, and independence of its ratings. Our relationship is governed by two distinct mandates: i) rating mandate - signed with the entity being rated or issuer of the debt instrument, and ii) fee mandate - signed with the payer, which can be different from the entity.
    2. PACRA does not provide consultancy/advisory services or other services to any of its customers or their associated companies and associated undertakings that are being rated or have been rated by it during the preceding three years, unless it has an adequate mechanism in place ensuring that the provision of such services does not lead to a conflict of interest situation with its rating activities. (Chapter III; 12-2-(d))
    3. PACRA discloses that no shareholder directly or indirectly holding 10% or more of the share capital of PACRA also holds directly or indirectly 10% or more of the share capital of the entity which is subject to rating or the entity which issued the instrument subject to rating by PACRA. (Chapter III; 12-2-(f))
    4. PACRA ensures that the rating assigned to an entity or instrument is not affected by the existence of a business relationship between PACRA and the entity or any other party, or the non-existence of such a relationship. (Chapter III; 12-2-(i))
    5. PACRA ensures that the analysts or any of their family members shall not buy, sell, or engage in any transaction in any security which falls in the analyst’s area of primary analytical responsibility. This clause, however, does not apply to investments in securities through collective investment schemes. (Chapter III; 12-2-(l))
    6. PACRA has established policies and procedures governing investments and trading in securities by its employees and for monitoring the same to prevent insider trading, market manipulation, or any other market abuse. (Chapter III; 11-B-(g))
  5. Monitoring and Review
    1. PACRA monitors all the outstanding ratings continuously, and any potential change therein due to any event associated with the issuer, the security arrangement, the industry, etc., is disseminated to the market immediately and in an effective manner after appropriate consultation with the entity/issuer. (Chapter III; 17-(a))
    2. PACRA reviews all the outstanding ratings periodically on an annual basis. Provided that public dissemination of annual review and in an instance of change in rating will be made. (Chapter III; 17-(b))
    3. PACRA initiates an immediate review of the outstanding rating upon becoming aware of any information that may reasonably be expected to result in downgrading of the rating. (Chapter III; 17-(c))
    4. PACRA engages with the issuer and the debt securities trustee to remain updated on all information pertaining to the rating of the entity/instrument. (Chapter III; 17-(d))
  6. Probability of Default
    1. PACRA’s Rating Scale reflects the expectation of credit risk. The highest rating has the lowest relative likelihood of default (i.e., probability). PACRA’s transition studies capture the historical performance behavior of a specific rating notch. Transition behavior of the assigned rating can be obtained from PACRA’s Transition Study available at our website.
